1. Scope of Services

Black Arrow Technologies (“Black Arrow,” “we,” “our,” or “us”) provides engineering support, additive manufacturing, prototyping, and related technical services.

All services are performed based on client-provided information, specifications, and project scope as agreed in writing.

2. Client Responsibilities

The client agrees to:

  • Provide accurate, complete, and functional design files and specifications
  • Review and approve all designs, quotes, and deliverables
  • Ensure the suitability of parts for their intended use

Black Arrow is not responsible for errors, omissions, or performance issues resulting from client-supplied data.

3. Engineering and Manufacturing Disclaimer

All services and deliverables are provided “as-is”.

  • Black Arrow does not guarantee fitness for a particular purpose
  • Additive manufacturing processes may result in variability in surface finish, dimensional tolerance, and material properties
  • Prototypes and parts must be tested and validated by the client prior to use

The client assumes full responsibility for the application, integration, and use of any delivered part or design.

4. Use and Application of Parts

Unless explicitly agreed in writing:

  • Parts are not certified for safety-critical, medical, aerospace, or load-bearing applications
  • Black Arrow is not responsible for failures resulting from misuse, improper installation, or unintended application

All parts should be evaluated under real-world conditions before deployment.

5. Limitation of Liability

To the maximum extent permitted by law:

  • Black Arrow shall not be liable for indirect, incidental, or consequential damages
  • Total liability for any claim shall not exceed the amount paid for the specific service or deliverable

This includes, but is not limited to:

  • Loss of business or revenue
  • Equipment damage
  • Personal injury or system failure

6. Intellectual Property

  • The client retains ownership of all submitted designs, files, and specifications
  • Black Arrow retains ownership of its internal processes, methods, and general know-how

Black Arrow will not reuse or distribute client designs without permission.

7. Confidentiality

All client-provided materials are treated as confidential and used solely for project execution.

Non-Disclosure Agreements (NDAs) are available upon request prior to project initiation.

8. Export Control

Clients are responsible for complying with all applicable export control laws, including ITAR and EAR.

  • Do not submit controlled technical data unless explicitly authorized
  • Black Arrow does not accept controlled data through standard website or email submissions unless agreed in writing

9. Payment Terms

  • Payment terms will be defined in project agreements, proposals, or invoices
  • Work may require partial or full upfront payment
  • Late payments may delay project timelines

Black Arrow reserves the right to suspend work for non-payment.

10. Quotes and Lead Times

  • Quotes are based on the information provided at the time of estimation
  • Changes in scope, materials, or design may result in revised pricing or timelines
  • Lead times are estimates and not guaranteed unless explicitly stated

11. Revisions and Changes

  • Design changes or scope adjustments may incur additional costs
  • Black Arrow is not obligated to revise completed work outside the agreed scope

12. Website Use

By using this website, you agree not to:

  • Submit false or misleading information
  • Attempt to access restricted areas or systems
  • Upload harmful or malicious content

13. Third-Party Services

Black Arrow may use third-party tools or partners to support operations. We are not responsible for third-party performance outside our control.

14. Termination

Black Arrow reserves the right to refuse or terminate services at its discretion, particularly in cases of:

  • Non-payment

  • Misuse of services

  • Violation of these terms

15. Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.

16. Updates

These Terms may be updated periodically. Continued use of our services constitutes acceptance of the current version.
